■ Voipack Distributor Agreement

Requirements:

Customer resources in communications and network service business

Legal business license

Capability in installation of PBX devices

Application Procedures:

1) Those who apply for distributorship of Voipack shall provide the following

certificates and documents:

A. One copy of distributor’s business license

B. Company name, correspondent, post code, telephone number, responsible

person as well as the bank, account number and taxpayer Number.

2) Voipack Corporation makes an aptitude inspection on applicants and issues a

letter of opinion in writing.

3) Voipack Corporation enters into Voipack Distributor Agreement with qualified

applicants.

4) Voipack issues a distributor certificate to the applicant after filing said Voipack

Distributor Agreement.

5) Termination of agreement

If and whenever the distributor fails to abide by Voipack's marketing

administration regulations or fails to perform any liability under Voipack

Distributor Agreement, Voipack Corporation reserves the right to terminate the

agreement by written notice.
